Comprehensive Portfolio / AC-Service and All for One

Acquisition contract signed for the purchase of entire stake in All for One Systemhaus GmbH Midmarket Solutions. Major boost to sales effort and portfolio of products and services. Will appear together at CeBIT 2006.

Stuttgart, 08 February 2006 – AC-Service AG of Stuttgart and All for One Systemhaus AG of Oberessendorf have successfully concluded their negotiations on AC-Service AG's purchase of all shares in All for One Systemhaus GmbH Midmarket Solutions (or All for One GmbH for short), which was originally announced on 11 November 2005. The corresponding acquisition agreement was signed on 7 February 2006. The shares will be transferred once the entire purchase price of EUR 15,350,000 is paid within 10 days of signing the contract. All for One GmbH's company name, footprint and market appearance will be maintained and expanded. Lars Landwehrkamp, the managing director of All for One GmbH and still executive-board spokesman of All for One Systemhaus AG, will not only remain managing director of All for One GmbH, but will also join the AC-Service AG board of directors once the transaction has been completed.

All for One GmbH represents annual sales volumes in excess of EUR 23 million with an EBIT margin in the double digits, employs some 110 people and serves an established customer base of more than 160 companies. In the German-speaking parts of Europe it is also one of the leading partner companies of SAP within the market segment of discrete-manufacturing companies. All for One GmbH provides certified mySAP All-in-One industry solutions for machinery and equipment manufacturers (All for Machine), the electronics industry (All for Electric), the automotive industry (All for Automotive), the metal (All for Metal) and plastics (All for Plastics) processing industries. Consulting GmbH, which supported the transaction in line with commercial due diligence by presenting a comprehensive analysis of the two companies' client markets. The market observers from L.E.K. Consulting continued by pointing out that »Unlike most other IT services companies operating on the market, AC-Service can now offer a complete IT value chain«. Landwehrkamp added, »Since the letter of intent was signed in November 2005, we, together with AC-Service, have been able to win three new SAP client projects including outsourcing - clear proof of superb interaction and a perfectly complementing range of services.« For Herbert Werle, the chairman of the board of AC-Service AG, the integration of All for One Systemhaus GmbH is »a milestone on the way to becoming a leading IT services company on the German-language SAP small to mid-size business market».

Joint Appearance at CeBIT The CeBIT computer trade show being held from 9 to 15 March 2006 in Hannover will see AC-Service and All for One presenting the highlights of their portfolio of systems and services at their joint stand (F 38) in Hall 4 as part of the SAP exhibitor pool.
