Ad-hoc: All for One Midmarket AG Plans Divestiture

Intention to sell holdings in AC-Service (Schweiz) AG / Bidding process with selected prospective buyers / Focus on strategic industry segments to strengthen profile as SAP full service provider / Greater leeway for acquisitions

Filderstadt, 23 April 2009 – All for One Midmarket AG, a leader in both the manufacturing and supplier industry and among service providers in the SAP midmarket segment in countries where German is spoken, is planning to sell its 95% interest in AC-Service (Schweiz) AG. This company based in Wettingen near Zürich operates primarily in the field of managed services for Swiss health care and public sector entities. AC-Service (Schweiz) AG has a staff of 71 employees and posted sales equivalent to some EUR 13 million in the financial year 2008.

After carefully sounding out the market for buyers, the management board decided to sell all of the interests that All for One Midmarket AG holds in AC-Service (Schweiz) AG. The shareholdings are to be sold as part of a bidding process with selected prospective buyers. The company intends to sign a related share purchase agreement in the coming months. The sale of these business operations, which lie outside All for One Midmarket AG’s strategic industry segments, will help further reinforce the company’s profile as a leading SAP full service provider in countries where German is spoken. On the Swiss SAP market for small and mid-sized businesses All for One Midmarket AG will further operate through its subsidiary Process Partner AG, St. Gallen, whose activities will be expanded. The planned divestiture should also give the company greater leeway for acquisitions in core business areas such as outsourcing and the SAP midmarket Business.
