Ad-hoc: Acquisition Contract Signed

Contract negotiations on acquiring all the shares in All for One Systemhaus GmbH Midmarket Solutions concluded.

Stuttgart, 07 February 2006 – AC-Service AG of Stuttgart and All for One Systemhaus AG of Oberessendorf have successfully concluded their exclusive negotiations on AC-Service AG's purchase of all shares in All for One Systemhaus GmbH Midmarket Solutions, which were announced on 11 November 2005. The corresponding acquisition agreement was signed on 7 February 2006. The transfer of the shares is subject to the condition that the entire purchase price is paid as due within 10 days of signing the contract. The purchase price of EUR 15,350,000 includes no variable components, will be paid in cash and is to be completely debt-financed.

Lars Landwehrkamp, managing director of All for One Systemhaus GmbH Midmarket Solutions and still executive-board spokesman of All for One Systemhaus AG, will remain the managing director of All for One Systemhaus GmbH Midmarket Solutions following the change in shareholders and has been appointed by the supervisory board to be a member of the AC-Service AG board of directors under the condition that the acquisition actually goes through.

In April 2005 All for One Systemhaus AG transferred its entire SAP systems-contracting business to an independent subsidiary called All for One Systemhaus GmbH Midmarket Solutions. This spun-off business division represents an annual sales volume in excess of EUR 23 million with a double-digit EBIT margin, employs some 110 people and ranks as one of SAP's leading partners within the segment of manufacturing companies involved in discrete manufacturing in the German-speaking parts of Europe.

For AC-Service AG the acquisition of All for One Systemhaus GmbH Midmarket Solutions is a milestone on its way to becoming one of the top IT services companies in the German-speaking SAP small to mid-size business market.
